These Terms of Service (“Terms”) are a binding agreement between you and SilverAI JSC (“SilverAI”, “we”, “us”, or “our”) governing your use of the KidPal app and related services (the “App”). This document also serves as the End User License Agreement (EULA) for the App.
By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. Who may use KidPal
KidPal is designed to be set up and managed by a parent or legal guardian. By using the App you represent that you are at least the age of majority in your jurisdiction and that you accept these Terms on behalf of yourself and any child who uses the App under your supervision. Children may use the App only under the direction and supervision of a responsible adult.
2. License
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App for your and your family’s personal, non-commercial use. We reserve all rights not expressly granted.
You agree not to: (a) copy, modify, reverse engineer, decompile, or create derivative works of the App except as permitted by law; (b) resell, rent, or commercially exploit the App; (c) use the App to create unlawful, harmful, or infringing content; or (d) circumvent security, the parent gate, or usage limits.
3. Subscriptions, free trial, and credits
a) Auto-renewable subscriptions
KidPal offers auto-renewable subscriptions (e.g., Weekly, Monthly, Yearly) that unlock premium features and grant story-creation credits each billing period. Current tiers and prices are shown in the App before purchase.
- Payment is charged to your Apple App Store or Google Play account at confirmation of purchase.
- Subscriptions renew automatically at the then-current price for the same period unless you cancel at least 24 hours before the end of the current period.
- Your account is charged for renewal within 24 hours prior to the end of the current period.
b) Free trial
From time to time we may offer a free trial of a subscription. Free trials are not always available, and their availability and length may vary; the exact trial length and the price and terms that apply after the trial are shown in the App before you subscribe.
- If a trial is offered and you do not cancel before it ends, the subscription converts to a paid subscription and your payment method is charged the price shown for that plan, and it then auto-renews as described above.
- Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
c) Managing and canceling
You can manage or cancel a subscription in your App Store (Settings → Apple ID → Subscriptions) or Google Play (Play Store → Subscriptions) account settings. Deleting the App does not cancel a subscription.
d) Credits
Story-creation credits are a limited license to use a feature of the App; they have no cash value, are not transferable, cannot be redeemed for money, and do not expire except as required by law or as described in the App. Reading stories does not consume credits.
e) Price changes
We may change subscription prices. Where required, we will notify you and obtain any consent needed before an increase takes effect; changes apply to the next billing period.
f) Refunds
Purchases are processed by Apple or Google, and refunds are handled under their policies. We generally cannot grant refunds directly. Contact Apple or Google support, or [email protected], for assistance. Statutory withdrawal/refund rights (e.g., in the EU/UK) are unaffected.
4. Your content and photos
The App lets you provide photos and other inputs (“Your Content”) to generate personalized stories and illustrations.
- You represent that you have all necessary rights and consents to submit Your Content, including for any child or person depicted in a photo, and that Your Content does not violate law or third-party rights.
- You grant us and our service providers a limited license to host, process, and transmit Your Content solely to operate the App and generate the content you request, as described in the Privacy Policy.
- Subject to our rights and third-party AI provider terms, as between you and us, you own the stories and images generated for you for your personal, non-commercial family use.
- Do not upload content that is unlawful, abusive, or that you do not have the right to share.
5. AI-generated content
Stories, illustrations, and narration are produced using automated AI systems and may be imperfect, inaccurate, or unexpectedly similar to other content. KidPal is intended for entertainment and bedtime reading; it is not professional, educational, medical, or psychological advice. Please review generated content before sharing it with your child.
6. Intellectual property
The App, including its software, design, curated library, characters, and branding, is owned by us or our licensors and is protected by intellectual property laws. Except for the license granted above, these Terms do not transfer any rights in the App to you.
7. Disclaimers
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not warrant that the App will be uninterrupted, error-free, or secure.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE GREATER OF US$50 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow these limitations, so they may not apply to you.
9. Indemnification
You agree to indemnify and hold us harmless from claims and expenses arising from Your Content, your misuse of the App, or your breach of these Terms, to the extent permitted by law.
10. Termination
We may suspend or terminate your access if you breach these Terms or to protect the App or other users. You may stop using the App at any time. Sections that by their nature should survive termination (e.g., IP, disclaimers, liability limits) will survive.
11. Governing law and disputes
These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-laws rules. Disputes will be resolved in the competent courts of Vietnam, unless applicable consumer law grants you the right to bring proceedings elsewhere.
12. Apple App Store — additional terms
If you download the App from the Apple App Store, the following also applies and, where it conflicts with the rest of these Terms, controls for iOS use:
- These Terms are between you and us only, not with Apple. Apple is not responsible for the App or its content.
- The license granted is limited to use on Apple-branded devices you own or control, as permitted by the Apple Media Services / App Store Terms.
- Maintenance and support for the App is our responsibility, not Apple’s.
- To the extent permitted by law, Apple has no warranty obligation for the App; any warranty claims and any failure to conform to a warranty are our responsibility.
- Apple is not responsible for product liability, legal/regulatory claims, or third-party intellectual-property claims relating to the App.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
- You represent that you are not located in a US-embargoed country or on a US government prohibited-parties list, consistent with the App Store terms.
13. Changes to these Terms
We may update these Terms from time to time. We will update the “Last updated” date and, for material changes, provide additional notice where required. Continued use of the App after changes take effect constitutes acceptance.
